This Referral and Advertising Agreement ("Agreement") is entered into between JaxInsider.com ("JaxInsider," "we," "us") and the business or professional that accepts it ("Advertiser," "you"). It governs your participation in JaxInsider's referral, lead, and advertising programs.
JaxInsider operates a local directory and marketing platform for the Jacksonville area. Depending on the program you enroll in, we may: (a) display your business in our directory; (b) forward customer inquiries or leads to you; and (c) provide advertising or promotional placement. We do not guarantee any specific number of leads, inquiries, customers, sales, revenue, or results, and lead volume and quality will vary.
You agree to pay the fees for the program you enroll in, which may be structured as: (a) a per-lead fee for each lead we send you; (b) a flat monthly or subscription fee; and/or (c) an advertising or placement fee. The applicable fees, amounts, and structure are those presented to you when you enroll, as updated from time to time. Unless stated otherwise, a lead is billable when it is delivered to you, regardless of whether it converts into a customer or sale.
Fees are due on the schedule presented at enrollment (for example, monthly in arrears for per-lead fees). Amounts not paid when due may result in suspension of lead delivery or placement. You are responsible for all applicable taxes. Fees already earned or incurred are non-refundable except where required by law.
Leads and customer information we provide are for your use in responding to that customer's inquiry. You agree to contact leads promptly and professionally, to comply with all applicable laws when doing so (including telemarketing, texting, email, and Do-Not-Call rules), and not to resell or misuse the information. Leads may be sent to more than one Advertiser unless your program is expressly exclusive.
Unless your program states otherwise, this Agreement is non-exclusive. We may work with, refer to, and advertise other businesses, including your competitors, and you may work with other platforms.
You represent that you hold all licenses, registrations, and insurance required to provide your services, and that you will comply with all laws that apply to your business. For regulated referrals, fees will be structured to comply with applicable law. Real estate referrals are handled through a licensed real estate professional and their brokerage. We do not pay or accept fees for referrals where doing so would be prohibited, including certain settlement-service referrals governed by the Real Estate Settlement Procedures Act (RESPA).
You acknowledge that JaxInsider may publicly disclose that it receives referral fees, advertising fees, or commissions, and that such compensation may influence which businesses are featured or promoted.
You represent that the information you provide about your business is accurate, that you are authorized to enter into this Agreement, and that your services, advertising, and conduct will be lawful, honest, and non-deceptive. You are solely responsible for your dealings with customers, including any goods or services you provide.
This Agreement begins when you accept it and continues until terminated. Either party may terminate at any time on written notice. We may suspend or terminate your participation immediately for non-payment, a violation of this Agreement, or conduct that we reasonably believe harms customers or our reputation. Fees earned before termination remain payable.
Each party agrees to keep the other's non-public business information confidential and to use it only to perform this Agreement.
The platform and leads are provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or that leads will result in customers or revenue.
To the maximum extent permitted by law, JaxInsider will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability under this Agreement will not exceed the fees you paid us in the three months before the event giving rise to the claim.
You agree to indemnify and hold JaxInsider harmless from claims, damages, and expenses arising out of your services, your contact with leads or customers, your advertising, or your breach of this Agreement or the law.
This Agreement is governed by the laws of the State of Florida, and any dispute will be brought exclusively in the state or federal courts located in Duval County, Florida.
We may update this Agreement or the program fees from time to time. Your continued participation after a change takes effect constitutes acceptance of the updated terms.
By enrolling in a JaxInsider referral, lead, or advertising program, checking a box indicating acceptance, or receiving leads or placement from us, you agree to this Agreement.
