Welcome to JaxInsider.com ("JaxInsider," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the JaxInsider.com website, content, and services (together, the "Site"). By accessing or using the Site, creating an account, submitting information, or making a payment, you agree to be bound by these Terms. If you do not agree, do not use the Site.

Please read these Terms carefully. They include important limitations on our liability and describe how disputes are resolved.

1. Who May Use the Site

You must be at least 18 years old to use the Site, create an account, or submit any information. By using the Site, you represent that you are 18 or older and that all information you provide is accurate and current. The Site is intended for users in and around Jacksonville and the broader Duval County area.

2. Accounts

Some features require you to create an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without your permission. We may suspend, restrict, or terminate any account at our discretion, including for any violation of these Terms.

3. Acceptable Use and Community Conduct

JaxInsider is a community platform. To keep it safe and useful for everyone, you agree that you will not, and will not permit anyone acting on your behalf to, use the Site to do any of the following:

• Break any applicable local, state, or federal law, or encourage or assist others in doing so.
• Post, upload, or share content that is unlawful, fraudulent, deceptive, or misleading, including false or knowingly inaccurate information about people, businesses, events, or listings.
• Post content that promotes, threatens, or incites hatred, harassment, discrimination, or violence against any person or group, including on the basis of race, color, religion, national origin, ethnicity, sex, gender identity, sexual orientation, age, disability, familial status, or any other characteristic.
• Harass, bully, stalk, threaten, defame, or intimidate any person, or otherwise infringe on the rights, safety, privacy, or dignity of others.
• Post content that is obscene, sexually explicit, or otherwise harmful to the community or to any user or group of users.
• Impersonate any person or business, or misrepresent your affiliation with any person or business.
• Upload viruses, malware, or any code intended to disrupt, damage, or gain unauthorized access to the Site or to any user, system, or network.
• Scrape, harvest, or collect information about other users, or use automated tools to access the Site, except as expressly permitted by us in writing.
• Send spam, chain messages, or unsolicited promotional material, or use the Site to promote illegal goods or services.
• Interfere with, disrupt, or place an unreasonable load on the Site or its infrastructure.

You agree to use the Site in good faith and in a way that respects the community, other users, and the purpose of the platform. We may review, remove, or decline any content or listing at any time, with or without notice, at our sole discretion, and we are under no obligation to publish or retain any content you submit.

4. User Content and Submissions

You retain ownership of the content you submit, but by submitting it you grant JaxInsider a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute that content in connection with operating and promoting the Site. You represent that you have the rights to the content you submit and that it does not violate these Terms or the rights of any third party. We do not guarantee that any submission will be published, and we may edit, remove, or decline any submission at any time.

5. Business Listings and Directory

Business listings, directory entries, reviews, and similar content may be submitted by users and by businesses. We do not independently verify all listing information and do not guarantee the accuracy, completeness, quality, or availability of any business, product, or service listed on the Site. Any dealings you have with a business found through the Site are solely between you and that business. We are not a party to and are not responsible for those dealings.

6. Real Estate Information

Real estate content on the Site is provided for general informational purposes only and is not an offer, solicitation, appraisal, or professional advice. Property information may change and is not guaranteed to be accurate or current. If you submit a request to be connected with a real estate professional, you consent to having your contact information and request shared with one or more licensed professionals so they may follow up with you. JaxInsider does not guarantee that you will be contacted, and does not guarantee any outcome, timeline, price, or result. All real estate services referenced on the Site are provided by a Licensed Real Estate Advisor. JaxInsider is committed to compliance with the Fair Housing Act and does not support or permit discriminatory housing practices.

7. Payments

Payments made through the Site are processed by third-party payment processors, including Stripe. By making a payment, you agree to the applicable processor's terms. You authorize us and our processor to charge the payment method you provide for the amount shown at checkout, plus any applicable taxes or fees. We do not store full payment card numbers on our own servers. You are responsible for providing accurate billing information.

8. Recurring Payments and Card on File

Some payments may be offered on a recurring or subscription basis. Where a recurring payment option is presented and you choose it, you authorize JaxInsider and its payment processor to store your payment method ("card on file") and to automatically charge that payment method on a recurring basis (for example, monthly or annually) until the subscription is canceled. The following applies to recurring payments:

• You will be told the amount, billing frequency, and start date before you agree to a recurring charge.
• Recurring charges will continue automatically until you cancel, following the cancellation instructions provided to you or by contacting us.
• You authorize us to store and use your payment method for future charges related to your subscription until you cancel or the payment method is removed.
• We may change subscription pricing or terms on a going-forward basis. Where required, we will give you advance notice, and continued use after the change takes effect constitutes acceptance.
• If a recurring charge fails, we may retry the charge or suspend the associated service until payment is received.
• Canceling a subscription stops future charges but does not automatically refund amounts already paid, except as described below or as required by law.

9. Refunds and Non-Cancellation

Unless otherwise stated in writing at the time of purchase or required by law, all payments are final and non-refundable once processed. This includes one-time payments, listing fees, subscription charges, advertising fees, and sponsorship payments of any amount. Sponsorship, advertising, and annual commitments are purchased for a fixed term and are non-refundable and non-cancelable for that term, whether or not the full term is used. You agree not to initiate a chargeback, payment dispute, or reversal for any charge that is valid under these Terms, and you agree that doing so is a breach of these Terms. If you believe a charge was made in error, contact us first at hello@jaxinsider.com and we will review the matter in good faith. Any refund that we may choose to provide is made at our sole discretion and does not create a right to future refunds.

10. Third-Party Services and Links

The Site may rely on or link to third-party services, websites, and content that we do not control, including payment processors and mapping providers. We are not responsible for the content, policies, or practices of any third party. Your use of a third-party service is governed by that party's own terms and privacy policy.

11. Intellectual Property

The Site, including its design, text, graphics, logos, and software, is owned by JaxInsider.com or its licensors and is protected by intellectual property laws. Except for content you submit, you may not copy, reproduce, distribute, or create derivative works from the Site without our prior written permission.

The directory as a whole, including the selection, arrangement, categorization, ratings, rankings, and compiled data that make it up, is our original compilation and is protected as such. Individual facts about a business are not owned by us, but the compiled database and its structure are.

11a. Automated Access, Scraping, and Republication

You may not use any robot, spider, scraper, crawler, headless browser, script, or other automated means to access, copy, index, harvest, or download any part of the Site or its data, except that operators of general-purpose search engines and AI assistants may crawl the Site in accordance with our robots.txt for the sole purpose of indexing and linking to it.

Without our prior written permission you also may not: (a) copy, scrape, or reproduce all or a substantial part of the directory or any listing data; (b) build, populate, or enrich any competing or derivative directory, database, mailing list, or lead product using data taken from the Site; (c) resell, license, or redistribute our data; (d) circumvent, disable, or interfere with any rate limit, access control, or security measure; or (e) remove, obscure, or alter any proprietary notice or embedded identifier in our pages.

We employ technical measures to detect and document automated harvesting, including embedded identifiers in our pages. Accessing the Site constitutes acceptance of these restrictions. We may block access, and we reserve all legal remedies, including claims under applicable computer access, contract, and copyright law.

11b. Copyright Complaints (DMCA)

We respond to valid notices of copyright infringement. If you believe material on the Site infringes your copyright, or if you believe your material has been copied from this Site and republished elsewhere, contact us at hello@jaxinsider.com with: your contact details, identification of the work, the location of the material, a statement of good-faith belief, a statement that the information is accurate, and your signature. We remove infringing material and terminate repeat infringers.

12. Disclaimers

The Site and all content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any information on the Site is accurate, complete, or current. Your use of the Site is at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law, JaxInsider.com and its owners, operators, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars ($100) in total, regardless of the amount you have paid to us. This limit applies to all claims in the aggregate and is not increased by the value of any purchase, sponsorship, subscription, or advertising commitment.

14. Indemnification

You agree to indemnify and hold harmless JaxInsider.com and its owners, operators, employees, and contractors from and against any claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your content, or your violation of these Terms or of any law or the rights of any third party.

15. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, will survive.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Duval County, Florida, and you consent to the personal jurisdiction of those courts.

18. Referral Fees, Leads, and Compensation

JaxInsider may be compensated for connecting you with businesses and professionals. When you submit a request through one of our lead or "get connected" forms, we may share your request and contact information with one or more relevant businesses or professionals, and some of them may pay us a referral fee, advertising fee, or commission for that introduction or for advertising placement on the Site. This compensation never adds any cost to you, and you are never obligated to hire or purchase from anyone we connect you with. Compensation may influence which businesses are featured or promoted, but we aim to connect you only with relevant providers. Real estate referrals are handled through a Licensed Real Estate Advisor and their brokerage. We do not accept fees for referrals where doing so would be prohibited by law, including certain settlement-service referrals governed by the Real Estate Settlement Procedures Act (RESPA).
